Terms of Service
Terms governing organisational access to and use of Sodium Learn.
1. Acceptance of Terms
By creating an account, signing an Order Form, or using Sodium Learn, an organisation and its authorised users agree to these Terms of Service ("Terms"). If you're using the platform on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.
2. Definitions
Platform: the Sodium Learn service, made up of Create, Manage, and Learn
Organisation: the customer that subscribes to the Platform
Learner: any individual given access to the Platform by an Organisation
Content: courses, modules, files, and materials created, uploaded, or hosted on the Platform
Order Form: the document confirming an Organisation's subscription tier, learner count, and pricing
Subscription Term: the period an Organisation has access to the Platform, as set out in its Order Form
3. Accounts & Registration
Organisation admins are responsible for creating and managing user accounts, and for the accuracy of information provided
Each user account is for one individual and may not be shared
Organisations are responsible for keeping login credentials secure and for all activity under their accounts
Organisations must promptly deactivate accounts for individuals who no longer need access
4. Subscriptions, Fees & Billing
Sodium Learn is offered as Core and Growth subscription tiers, as described on our Pricing page and confirmed in an Order Form
Subscriptions are billed annually in advance, in GBP, unless otherwise agreed
Organisations may upgrade at any time (prorated to the next renewal) or downgrade or cancel at their next renewal
Fees are non-refundable except as required by law or expressly agreed in writing
Failed payments may result in a short grace period before access is restricted, as communicated at the time
5. Your Content & Data
Organisations and their learners retain ownership of the Content and personal data they submit to the Platform — your data stays yours
Organisations grant Sodium Learn a limited licence to host, process, and display Content solely to provide the Platform
Sodium Learn processes user personal data as a data processor, under the terms of our Privacy Policy and, where applicable, a separate data processing agreement
Organisations are responsible for having the right to upload and use any Content on the Platform, including third-party or SCORM content
6. Acceptable Use
Use of the Platform must comply with our Acceptable Use Policy. We may suspend or restrict access for activity that violates that policy, poses a security risk, or breaches these Terms.
7. Intellectual Property
The Platform, including its software, design, and branding, is owned by Sodium Learn and protected by intellectual property laws. These Terms grant Organisations a limited, non-exclusive, non-transferable right to use the Platform during their Subscription Term — no other rights are granted.
8. Service Availability & Support
We work to keep the Platform available and reliable, and to release updates and improvements over time. We provide support as described in your Order Form or our standard support channels. Planned maintenance will be communicated in advance where reasonably possible.
9. Confidentiality
Each party agrees to keep the other's confidential information private and to use it only as needed to perform under these Terms, except where disclosure is required by law.
10. Warranties & Disclaimers
The Platform is provided "as is" and "as available". To the extent permitted by law, Sodium Learn disclaims all implied warranties, including fitness for a particular purpose. We do not guarantee that the Platform will be uninterrupted or error-free.
11. Limitation of Liability
To the extent permitted by law, Sodium Learn's total liability arising from these Terms is limited to the fees paid by the Organisation in the 12 months before the claim. Neither party is liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited by law, such as liability for death, personal injury, or fraud.
12. Term, Suspension & Termination
These Terms apply for the Subscription Term and any renewal
Either party may terminate for material breach not fixed within a reasonable notice period
On termination, Organisations can export their Content and learner data for a limited period, after which data is handled per our Data Retention & Deletion practices
We may suspend access immediately for security risks, non-payment, or breach of the Acceptable Use Policy
13. Indemnification
Each party agrees to indemnify the other against third-party claims arising from its breach of these Terms, misuse of the Platform, or infringement of intellectual property rights.
14. Governing Law
These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these Terms from time to time. We'll provide reasonable notice of material changes to organisation admins. Continued use of the Platform after changes take effect means you accept the updated Terms.
